Please read these terms and conditions carefully before using Our Service.
These Website Terms of Service (the “Terms”) govern access to and use of the websites, applications, messaging platform, software, APIs, products, and services made available by Entrance Group, LLC (“Entrance Group,” “Company,” “we,” “us,” or “our”) to customers conducting business with Entrance Group. These Terms are intended to function as Entrance Group’s reusable, generally applicable online terms. Transaction-specific commercial terms may be set forth in an applicable Customer Order Form, statement of work, pricing schedule, or other executed customer agreement.
By accessing or using the Services, creating an account, clicking to accept, executing an Order Form, or otherwise conducting business with Entrance Group, Customer agrees to be bound by these Terms. If the individual accepting these Terms is doing so on behalf of an entity, that individual represents and warrants that they have authority to bind that entity, and “Customer” means that entity.
If Customer does not agree to these Terms, Customer may not access or use the Services.
1.1 Online Acceptance.
Entrance Group may present these Terms through an online interface, banner, or pop-up that requires the individual accepting to scroll through the full text of these Terms, check an acceptance box, and enter their name before being permitted to access or continue using the Services. By scrolling through, checking the acceptance box, entering a name, and clicking to accept (or any similar affirmative action Entrance Group makes available), Customer manifests its assent to these Terms and creates a binding agreement. The name entered, together with the date, time, and electronic record of acceptance captured by Entrance Group, will constitute Customer's electronic signature and prima facie evidence of acceptance. The individual accepting represents and warrants that they are authorized to bind Customer, and Customer will not contest the enforceability of these Terms solely on the ground that they were accepted electronically.
1.2 Acceptance Records; Versioning.
Each version of these Terms will bear an effective date and, where applicable, a version identifier. Entrance Group may record and retain evidence of each acceptance, including the name entered by the accepting individual, the date and time of acceptance, the version of the Terms accepted, and associated technical information such as IP address and device or session identifiers (the "Acceptance Record"). The Acceptance Record constitutes prima facie evidence of Customer's acceptance of, and agreement to be bound by, the version of the Terms so accepted, and is admissible in any proceeding to the same extent as an original signed document. Customer may request a copy of the version of the Terms it accepted by contacting Entrance Group through the contact information provided on Entrance Group's website.
For purposes of these Terms, the following definitions apply:
Defined Term
Meaning
Account
Any account, login, credential set, or administrative profile used to access the Services.
Affiliate
Any entity controlling, controlled by, or under common control with a party, where “control” means ownership of more than fifty percent (50%) of voting interests or the power to direct management.
Applicable Law
All applicable laws, rules, regulations, ordinances, orders, and industry requirements, including those relating to privacy, data protection, telecommunications, sanctions, export controls, and messaging compliance.
Customer Data
Data, content, messages, contact information, campaign information, templates, files, records, and other materials submitted to, transmitted through, or made available to Entrance Group by or for Customer in connection with the Services, excluding Usage Data and Entrance Group technology.
Documentation
User guides, technical materials, policies, and instructions made available by Entrance Group regarding the Services.
Order Form
Any Customer Order Form, statement of work, pricing schedule, or other executed customer agreement referencing these Terms and entered into between Customer and Entrance Group.
Services
Entrance Group’s websites, communications tools, messaging services, platform functionality, software, APIs, support, and related products and services provided to Customer.
Usage Data
Operational, telemetry, diagnostic, analytics, and performance data relating to the use, support, security, and operation of the Services, excluding content of Customer communications except as necessary to provide the Services or comply with law.
User
Any employee, contractor, representative, or agent authorized by Customer to access or use the Services under Customer’s Account.
Customer must provide accurate, current, and complete account, billing, and contact information and must keep that information updated during the term.
Customer is responsible for:
• all acts and omissions of its Users;
• maintaining the confidentiality of account credentials;
• all activity occurring under its Accounts;
• ensuring only authorized Users access the Services; and
• promptly notifying Entrance Group of any unauthorized access, compromise, or suspected security incident involving Customer’s Account.
The Services are offered for commercial and business use. Customer represents and warrants that it is legally capable of entering into binding contracts and will use the Services only for lawful business purposes. The Services are not offered or made available to consumers for personal, family, or household purposes, and Customer represents and warrants that it is not acquiring or using the Services for any such purpose.
Subject to these Terms and timely payment of all applicable fees, Entrance Group grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable term to access and use the Services and Documentation solely for Customer’s internal business purposes.
The specific features, volumes, pricing, service commitments, support entitlements, and commercial terms applicable to Customer will be set forth in the applicable Customer Order Form or other executed customer agreement, or otherwise in Entrance Group’s then-current online materials to the extent not inconsistent with such executed agreement.
Entrance Group may enhance, update, modify, replace, or discontinue all or part of the Services from time to time. Entrance Group will use commercially reasonable efforts to avoid materially reducing the core functionality of subscribed Services during a committed term, except where changes are required for security, legal, regulatory, carrier, supplier, or operational reasons.
Any alpha, beta, trial, pilot, evaluation, preview, or free features are provided “as is” and may be modified or discontinued at any time. Entrance Group may suspend or terminate access to such features without liability.
Customer will:
• use the Services in compliance with these Terms, Documentation, and Applicable Law;
• obtain and maintain all rights, notices, disclosures, and consents necessary for Customer’s use of the Services and for Entrance Group to process Customer Data as contemplated by these Terms;
• implement and maintain appropriate security measures for its systems, devices, credentials, and Users;
• cooperate with Entrance Group in connection with onboarding, compliance reviews, investigations, abuse mitigation, and carrier or supplier inquiries;
• ensure the accuracy, legality, quality, and integrity of Customer Data; and
• be solely responsible for the products, services, content, promotions, and communications that Customer or its Users send or make available through the Services.
Customer will not, and will not permit any User or third party to:
• use the Services for any unlawful, fraudulent, deceptive, abusive, harassing, defamatory, infringing, or harmful purpose;
• send malware, malicious code, spam, phishing, or other harmful or deceptive communications;
• use the Services in violation of telecommunications, privacy, consumer protection, or advertising laws;
• interfere with, disrupt, probe, or circumvent the integrity, security, or performance of the Services or third-party systems;
• access or use the Services to build, benchmark, replicate, or compete with the Services, except to the extent such restriction is prohibited by law;
• reverse engineer, decompile, disassemble, copy, modify, translate, or create derivative works of the Services except as expressly permitted by Applicable Law notwithstanding this restriction;
• resell, lease, sublicense, distribute, or provide time-sharing or service bureau access to the Services except as expressly authorized in writing by Entrance Group;
• remove or obscure proprietary notices or security features;
• use the Services in a manner that exceeds agreed usage limits or creates excessive burden on the Services or related networks; or
• upload or transmit content that Customer lacks the right to use.
Entrance Group maintains an acceptable use policy, messaging policy, and related compliance requirements, in each case appearing as Addendums to these Terms of Service, and such policies are incorporated into these Terms by reference. Entrance Group may update those policies from time to time and may provide notice of material updates through the Services, by email, or through Customer's Account.
If Customer uses the Services for SMS, MMS, voice, or other communications services, Customer is solely responsible for the content, timing, recipients, origination, and legality of all communications initiated by or on behalf of Customer. Customer will comply with all Applicable Law and industry requirements relating to messaging and telecommunications, including as applicable:
• consent and opt-in requirements;
• opt-out and help functionality;
• sender identification and message disclosures;
• prohibited content restrictions;
• recordkeeping requirements;
• campaign registration and brand registration requirements;
• short code, long code, toll-free, 10DLC, and carrier program rules; and
• applicable industry guidelines and carrier requirements.
Customer must obtain, document, and maintain all legally required consents before sending communications and must provide evidence of such consents to Entrance Group upon request.
Customer will not use the Services for unlawful lead generation, debt collection practices that violate law, phishing, social engineering, illegal substances, unlawful gambling, prohibited financial solicitations, or any campaign category restricted by carriers, suppliers, or Applicable Law.
Messaging services depend on third-party carriers, aggregators, and suppliers that may filter, block, delay, surcharge, suspend, or reject traffic. Entrance Group does not guarantee message delivery, routing, throughput, or campaign approval. Entrance Group may block or suspend campaigns, numbers, templates, or traffic where reasonably necessary to address abuse, compliance risk, or supplier requirements.
Customer will promptly provide campaign information, sample messages, opt-in language, websites, privacy notices, and other compliance materials requested by Entrance Group, carriers, or suppliers.
7.6 Role of Entrance Group; Conduit Status.
Customer acknowledges and agrees that Entrance Group acts solely as a technology provider and passive conduit that transmits messages at Customer's direction and on Customer's behalf. Entrance Group does not originate, create, draft, author, review, screen, approve, edit, monitor, or control the content, recipients, timing, or frequency of any message, and does not determine or verify whether any required consent has been obtained. As between the parties, Customer is the sole sender and originator of all messages and communications transmitted through the Services and is solely responsible for their content, recipients, and legality, including compliance with all consent, opt-out, disclosure, and recordkeeping requirements. Any compliance tools, filters, templates, guidance, or review that Entrance Group may make available are provided as a convenience only, do not relieve Customer of its obligations, and will not be construed as Entrance Group originating, approving, or assuming responsibility for any message or its compliance with Applicable Law. Any filtering, blocking, suspension, or review undertaken by Entrance Group under Section 7.4 or Section 10 is undertaken solely to protect the Services and to satisfy carrier, supplier, security, or legal requirements, is not an exercise of editorial control, and does not constitute review, approval, or adoption of any message, campaign, or recipient list.
Customer will pay all fees, charges, minimum commitments, recurring fees, usage-based charges, support fees, setup fees, carrier surcharges, pass-through charges, and other amounts specified in a Customer Order Form or other executed customer agreement, or otherwise incurred through use of the Services.
All fees are exclusive of taxes, duties, levies, tariffs, assessments, and similar governmental charges, including sales, use, excise, value-added, and telecommunications taxes, except taxes based on Entrance Group’s net income. Customer is responsible for all such taxes associated with its purchases or use of the Services.
Customer authorizes Entrance Group to charge Customer’s designated payment method, ACH authorization, or other approved payment mechanism for amounts due. Customer will keep payment information current and valid.
Unless otherwise stated in an Order Form:
• recurring fees are billed in advance;
• usage-based and pass-through fees may be billed in arrears;
• invoices are due within thirty (30) days of the invoice date; and
• amounts not disputed in good faith must be paid when due.
Any late payment may accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum lawful rate, from the due date until paid in full.
Customer will reimburse Entrance Group for reasonable costs of collection for overdue undisputed amounts, including reasonable attorneys’ fees, court costs, and collection agency fees.
Customer must notify Entrance Group in writing of any good-faith invoice dispute within fifteen (15) days after the invoice date, with sufficient detail to permit review. The parties will work in good faith to resolve the dispute promptly. Failure to dispute an invoice within that period waives Customer's right to withhold payment of that invoice, but does not waive Customer's right to seek a refund of amounts later shown to have been billed in error. Customer must timely pay all undisputed amounts.
Except to the extent prohibited by law, Customer may not withhold, deduct, or set off any amounts due to Entrance Group.
Customer acknowledges that certain Services depend on third-party carriers, network operators, registries, aggregators, cloud providers, and suppliers. Entrance Group may pass through to Customer, with or without markup if permitted by the applicable commercial arrangement, charges including:
• carrier surcharges;
• telecommunications fees;
• campaign registration fees;
• number provisioning fees;
• third-party verification fees;
• toll-free or 10DLC fees;
• regulatory or compliance-related pass-through charges; and
• other third-party cost increases reasonably attributable to Customer’s use of the Services.
Entrance Group will provide Customer at least fifteen (15) days' prior notice of any new or increased charge under this Section, except where a shorter period is required or imposed by the applicable third party, by a governmental authority, or by Applicable Law, in which case Entrance Group will provide notice as promptly as practicable.
9.1 Carrier Fee Adjustments
Customer acknowledges that pricing for messaging and related Services may be based in part on carrier fees, surcharges, and other pass-through charges imposed on Entrance Group by mobile network operators, carriers, aggregators, and other third parties (collectively, “Carrier Fees”). Entrance Group may pass through or adjust applicable rates and fees to reflect new or increased Carrier Fees, on the notice described in Section 9. For the avoidance of doubt, adjustments made under this Section 9.1 are permitted notwithstanding the final sentence of Section 31.9. Any detailed formula, market-share methodology, customer-specific allocation, or special adjustment mechanism for Carrier Fees will apply only if set forth in an applicable Customer Order Form, pricing schedule, or other executed customer agreement.
Entrance Group may suspend Customer’s or any User’s access to all or part of the Services immediately, with or without prior notice, if Entrance Group reasonably determines that:
• Customer is in breach of these Terms or an Order Form;
• any amount due is past due;
• Customer’s use poses a security risk or may harm Entrance Group, the Services, or any third party;
• Customer’s use may violate Applicable Law or third-party rules;
• a carrier, supplier, or governmental authority requires or requests suspension;
• Customer’s traffic, campaigns, or content create abuse, fraud, complaint, or compliance risk; or
• suspension is necessary for emergency maintenance or to prevent service degradation.
Where practicable, Entrance Group will use commercially reasonable efforts to notify Customer of the basis for suspension and restore access once the issue is resolved. Suspension does not excuse Customer’s payment obligations.
These Terms begin when Customer first accepts them or first uses the Services and continue until terminated in accordance with these Terms or the applicable Order Form.
If Customer purchases Services under an Order Form with a stated term, that Order Form will remain in effect for the stated initial term and any renewal term described in the Order Form, unless earlier terminated in accordance with these Terms.
Either party may terminate these Terms or an affected Order Form upon written notice if the other party:
• materially breaches these Terms or the applicable Order Form and fails to cure the breach within five (5) days after written notice for payment breaches or material compliance breaches, or within thirty (30) days after written notice for other material breaches, provided that Entrance Group may apply a shorter cure period, in no event less than twenty-four (24) hours, where a shorter period is required by Applicable Law or by a carrier, supplier, or governmental authority, or is necessary to address an active security or abuse incident; or
• becomes insolvent, makes an assignment for the benefit of creditors, or becomes subject to bankruptcy, receivership, liquidation, or similar proceedings not dismissed within sixty (60) days.
Entrance Group may terminate or discontinue affected Services immediately upon notice if continued provision would violate Applicable Law, expose Entrance Group to sanctions or regulatory risk, or require Entrance Group to breach obligations to a carrier, supplier, or governmental authority.
Unless expressly stated in an Order Form, either party may terminate these Terms for convenience upon thirty (30) days’ prior written notice if no active Order Form remains in effect.
Upon expiration or termination:
• Customer’s rights to access and use the terminated Services immediately cease;
• Customer must stop using the Services and Documentation;
• all unpaid amounts become immediately due and payable, and no prepaid fees will be refunded if these Terms or an Order Form are terminated due to Customer's breach;
• Customer remains liable for fees incurred through the effective date of termination and for any non-cancellable commitments, pass-through charges, and accrued obligations;
• Entrance Group may deactivate Accounts and delete or anonymize Customer Data in accordance with its retention practices, except as required by law; and
• each party will return or destroy the other party’s Confidential Information, subject to customary archival and legal retention exceptions.
Termination does not limit either party’s rights or remedies arising before termination.
As between the parties, Entrance Group and its licensors retain all right, title, and interest in and to the Services, Documentation, software, APIs, tools, workflows, interfaces, designs, know-how, Usage Data (excluding any Customer Data contained therein), and all related intellectual property rights.
As between the parties, Customer retains all right, title, and interest in and to Customer Data, subject to the rights granted in these Terms.
If Customer provides suggestions, feedback, or ideas regarding the Services, Customer hereby grants Entrance Group a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, distribute, and otherwise exploit such feedback for any purpose, without restriction, compensation, attribution, or obligation of any kind.
Customer will not, and will not permit any third party to:
• copy, reproduce, modify, or create derivative works of the Services or Documentation except as expressly permitted;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, or non-public APIs;
• use the Services or Documentation to design, develop, or operate a competing platform, product, or service;
• benchmark or publish performance information about the Services without Entrance Group’s prior written consent; or
• circumvent technical limitations, usage limits, security controls, or billing mechanisms.
To the extent Customer lawfully obtains non-waivable reverse engineering rights under Applicable Law, Customer must first provide Entrance Group a reasonable opportunity to supply the needed information.
Customer grants Entrance Group a non-exclusive, worldwide right to host, copy, transmit, process, display, and otherwise use Customer Data as necessary to provide, maintain, support, secure, and improve the Services, to prevent fraud and abuse, and to comply with Applicable Law. Entrance Group’s use of Customer Data to improve the Services will comply with Applicable Law and Section 16, and Entrance Group will use de-identified or aggregated Customer Data for that purpose where required by Applicable Law or where Customer has not otherwise consented to the use of identifiable Customer Data.
Customer is solely responsible for the legality, accuracy, quality, and means by which Customer acquired Customer Data and for ensuring that Entrance Group’s processing of Customer Data as authorized by Customer does not violate Applicable Law or third-party rights.
Entrance Group will implement and maintain commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, use, alteration, or disclosure.
Entrance Group may collect and use Usage Data and may create aggregated or de-identified information that does not identify Customer or individuals, for lawful business purposes such as analytics, service improvement, security, capacity planning, and industry reporting.
Unless otherwise agreed in writing, Entrance Group is not obligated to retain Customer Data after expiration or termination and may delete it in accordance with Entrance Group’s standard retention practices.
Entrance Group’s handling of personal information is described in its then-current privacy notice. Customer acknowledges that use of the Services may involve processing of personal information and that Customer is responsible for providing any notices and obtaining any consents required under Applicable Law for Customer’s use of the Services.
To the extent Entrance Group processes personal information on Customer's behalf in providing the Services, Entrance Group acts as a “service provider,” “processor,” or equivalent under Applicable Law; will not sell or share such personal information; and will not retain, use, or disclose it for any purpose other than performing the Services, except as permitted by Applicable Law. Entrance Group’s standard data processing addendum, appearing as an Addendum to and incorporated into these Terms by reference. If the parties require a separate negotiated data processing agreement or other executed customer agreement, they may enter into one. In the event of a conflict between these Terms and an executed data processing agreement or other executed customer agreement, that executed agreement will control with respect to its subject matter.
“Confidential Information” means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, pricing, product information, technical information, customer information, security information, and the terms of any non-public Order Form. For the avoidance of doubt, Customer Data constitutes Customer’s Confidential Information, subject to Section 22.3 with respect to liability arising out of any security incident or failure to comply with Section 15.3.
The receiving party will:
• use the disclosing party’s Confidential Information only to perform or exercise rights under these Terms;
• protect it using at least reasonable care and no less than the care used to protect its own similar information; and
• not disclose it except to employees, Affiliates, contractors, professional advisers, and service providers with a need to know and who are bound by confidentiality obligations.
Confidential Information does not include information that the receiving party can demonstrate:
• is or becomes public through no fault of the receiving party;
• was already lawfully known without confidentiality obligation;
• is lawfully received from a third party without breach of duty; or
• is independently developed without use of the disclosing party’s Confidential Information.
A receiving party may disclose Confidential Information if required by law, subpoena, or court order, provided it gives prompt notice where legally permitted and reasonably cooperates with efforts to limit the disclosure.
Each party’s confidentiality obligations survive for three (3) years after termination, except that trade secrets will remain protected for so long as they qualify as trade secrets under Applicable Law.
The Services may interoperate with or rely on third-party products, infrastructure, carriers, suppliers, registries, cloud providers, and software not controlled by Entrance Group. Entrance Group is not responsible for the acts, omissions, outages, filtering, pricing changes, policy changes, delivery failures, or service terms of such third parties. Customer’s use of third-party services may be subject to separate terms between Customer and the applicable third party.
Unless otherwise specified in an Order Form, Entrance Group will provide standard support for the Services during its normal support hours in accordance with its then-current support practices. Entrance Group may require Customer to designate authorized support contacts and to provide information reasonably necessary to diagnose and resolve issues.
Support does not include issues caused by:
• Customer systems, integrations, or third-party products;
• misuse or unauthorized modifications;
• unsupported configurations; or
• factors outside Entrance Group’s reasonable control.
Entrance Group will use commercially reasonable efforts to maintain availability of the Services, but does not guarantee uninterrupted or error-free operation. The Services may be unavailable due to scheduled maintenance, emergency maintenance, carrier issues, internet outages, force majeure events, or third-party failures.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR AN APPLICABLE ORDER FORM, THE SERVICES, DOCUMENTATION, AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRANCE GROUP DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, ENTRANCE GROUP DOES NOT WARRANT THAT:
• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• MESSAGES WILL BE DELIVERED, ROUTED, OR RECEIVED WITHOUT DELAY OR FILTERING;
• THE SERVICES WILL MEET CUSTOMER’S PARTICULAR BUSINESS, REGULATORY, OR REVENUE OBJECTIVES;
• ALL DEFECTS OR ERRORS WILL BE CORRECTED.
IN ADDITION, AND CONSISTENT WITH ENTRANCE GROUP'S ROLE AS A CONDUIT UNDER SECTION 7.6, ENTRANCE GROUP DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR THE CONTENT, RECIPIENTS, TIMING, FREQUENCY, CONSENT BASIS, AND LEGALITY OF ANY MESSAGE OR COMMUNICATION TRANSMITTED THROUGH THE SERVICES, AND FOR THE DELIVERY, NON-DELIVERY, ROUTING, FILTERING, BLOCKING, OR DELAY OF ANY SUCH MESSAGE BY ANY CARRIER, AGGREGATOR, OR OTHER THIRD PARTY. AS BETWEEN THE PARTIES, CUSTOMER IS SOLELY RESPONSIBLE FOR ITS MESSAGES AND CAMPAIGNS AND FOR COMPLIANCE WITH ALL APPLICABLE LAW AND INDUSTRY REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOST DATA, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTRANCE GROUP’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, AND ALL ORDER FORMS WILL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY CUSTOMER TO ENTRANCE GROUP FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The exclusions and cap in this Section do not limit Customer’s payment obligations or either party’s liability for:
• gross negligence or willful misconduct to the extent such liability cannot be limited by law;
• willful infringement or misappropriation of the other party’s intellectual property rights;
• breach of confidentiality obligations;
• Customer’s violation of Sections 6, 7, 14, or Applicable Law; or
• amounts owed under the indemnification provisions.
Notwithstanding the foregoing, and except in the case of Entrance Group’s willful misconduct, Entrance Group’s aggregate liability for all matters described in this Section 22.3 will not exceed three (3) times the amount described in Section 22.2.
For clarity, and notwithstanding the exception for breach of confidentiality obligations set forth above, Entrance Group’s aggregate liability arising out of or relating to any security incident or any failure to comply with Section 15.3 (Security), including with respect to any Customer Data, will be subject to the liability cap set forth in Section 22.2, and the exception for breach of confidentiality obligations will not apply to any such liability.
Customer will defend, indemnify, and hold harmless Entrance Group, its Affiliates, and their respective officers, directors, employees, and agents from and against third-party claims, actions, investigations, enforcement actions, regulatory proceedings, fines and penalties (to the extent indemnification for such fines and penalties is permitted by Applicable Law), damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) to the extent arising out of or relating to:
• Customer Data;
• Customer’s or any User’s use of the Services;
• Customer’s products, services, content, campaigns, or communications;
• Customer’s breach of these Terms, a Customer Order Form or other executed customer agreement, or Applicable Law;
• Customer’s failure to obtain legally required consents, notices, or permissions;
• any actual or alleged violation of messaging, telemarketing, telecommunications, or consumer-protection laws, rules, regulations, or industry requirements arising from or relating to Customer's or its Users' messages, campaigns, content, recipients, or consent practices, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the Telemarketing Sales Rule, state telemarketing, mini-TCPA, and consumer-protection statutes, federal and state Do-Not-Call requirements, FCC regulations, and CTIA, carrier, aggregator, and 10DLC or registry requirements; or
• allegations that Customer Data or Customer's use of the Services infringes, misappropriates, or violates any third-party rights.
The foregoing indemnity applies regardless of the theory of liability, but excludes any portion of a claim to the extent caused by Entrance Group’s gross negligence or willful misconduct.
Entrance Group will defend Customer against any third-party claim alleging that the Services, as provided by Entrance Group and used by Customer in accordance with these Terms, infringe any U.S. patent, copyright, or trademark, and Entrance Group will indemnify Customer from final judgments, approved settlements, and reasonable defense costs awarded in such claim. If the Services become, or in Entrance Group's opinion are likely to become, the subject of an infringement claim, Entrance Group may, at its option and expense: (a) procure the right for Customer to continue using the Services; (b) modify the Services to make them non-infringing without materially reducing functionality; (c) replace the Services with a functionally equivalent non-infringing alternative; or (d) if none of the foregoing is commercially practicable, terminate the affected Services and refund any prepaid, unused fees for the terminated Services covering the period after termination.
Entrance Group will have no obligation under this Section for claims arising from:
• Customer Data;
• modifications not made by Entrance Group;
• combinations with products, services, content, or processes not provided by Entrance Group;
• use in violation of these Terms or Documentation; or
• use of beta, trial, or no-charge offerings.
The indemnified party must promptly notify the indemnifying party of the claim (provided that any delay in providing such notice will not relieve the indemnifying party of its obligations except to the extent materially prejudiced by such delay), provide reasonable cooperation at the indemnifying party’s expense, and permit the indemnifying party to control the defense and settlement with counsel reasonably satisfactory to the indemnified party, except that no settlement admitting liability, imposing non-monetary obligations on, or requiring payment by the indemnified party may be entered without that party’s prior written consent, not to be unreasonably withheld. The indemnified party may participate in the defense with its own counsel at its own expense.
Customer will comply with all applicable export control, sanctions, anti-boycott, anti-corruption, and import laws and regulations. Customer represents and warrants that it is not located in, organized under the laws of, or ordinarily resident in any embargoed or comprehensively sanctioned jurisdiction, and is not a prohibited or restricted party under applicable sanctions laws. Customer will not use the Services in any manner that would cause Entrance Group to violate Applicable Law.
Neither party will be liable for delay or failure to perform, other than payment obligations, to the extent caused by events beyond its reasonable control, including natural disasters, acts of God, war, terrorism, riots, labor disputes, epidemics, pandemics, internet or telecommunications failures, carrier outages, utility failures, cyberattacks by third parties, governmental actions, or supplier failures. The affected party will use commercially reasonable efforts to mitigate the impact and resume performance.
Customer may not assign, delegate, or transfer these Terms or any Order Form, whether by operation of law or otherwise, including by reason of a change of control, without Entrance Group’s prior written consent, except to an Affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee is not a competitor of Entrance Group and agrees in writing to be bound by these Terms. Any prohibited assignment is void.
Entrance Group may assign these Terms and any Order Form without Customer’s consent in connection with a merger, acquisition, corporate reorganization, sale of assets, or to an Affiliate.
Except as otherwise specified by Entrance Group for operational notices, legal notices under these Terms must be in writing and will be deemed given:
• upon confirmed delivery if sent by nationally recognized overnight courier;
• upon receipt if sent by certified or registered mail, return receipt requested; or
• upon electronic transmission if sent by email to the legal or billing contact designated by the receiving party, provided no delivery failure notice is received.
Notices to Customer may be sent to the contact information associated with Customer’s Account or Order Form. Customer is responsible for keeping its notice information current.
Notices to Entrance Group must be sent to Entrance Group, LLC, [INSERT STREET ADDRESS], Attention: Legal, with a copy by email to [INSERT LEGAL EMAIL ADDRESS]. Entrance Group may update its notice address by posting updated contact information or by notice to Customer.
These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of New Jersey, without regard to conflict of law principles. Except to the extent an applicable Customer Order Form or other executed customer agreement expressly requires arbitration or another dispute-resolution procedure, the state and federal courts located in Newark, New Jersey will have exclusive jurisdiction and venue, and each party irrevocably submits to the personal jurisdiction of those courts.
If there is a conflict between these Terms and another agreement between the parties, the following order of precedence applies, from highest to lowest, with respect to the relevant subject matter:
1. an executed Customer Order Form, amendment, or other executed customer agreement, with respect to transaction-specific pricing, term, renewal economics, minimum commitments, support scope, exclusivity, and special terms expressly set forth, selected, or completed in that document;
2. an executed statement of work or pricing schedule not covered by item 1;
3. an executed data processing agreement or other executed customer agreement, with respect to privacy and data processing matters only;
4. these Terms;
5. Documentation, policies, and online materials.
No purchase order, vendor portal term, or Customer-issued document will modify these Terms or bind Entrance Group unless expressly agreed in a signed writing by an authorized representative of Entrance Group.
These Terms, together with any applicable Customer Order Form, other executed customer agreement, and incorporated policies, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous proposals, representations, negotiations, and agreements on that subject matter.
Failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
The parties are independent contractors. These Terms do not create any partnership, franchise, joint venture, fiduciary, or employment relationship.
These Terms are for the sole benefit of the parties and their permitted successors and assigns and do not create any third-party beneficiary rights, except as expressly stated in the indemnification provisions.
Any provision that by its nature should survive expiration or termination will survive, including provisions relating to accrued payment obligations, proprietary rights, license restrictions, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and miscellaneous interpretive provisions.
Headings are for convenience only and do not affect interpretation. The words “including” and “include” mean “including without limitation.” These Terms will not be construed against either party by reason of authorship.
The parties agree that electronic signatures, click-through acceptance, and electronic records will be binding and satisfy any legal requirement for a writing or signature to the fullest extent permitted by law. Without limiting the foregoing, Customer agrees that its online acceptance under Section 1.1 and the associated Acceptance Record described in Section 1.2 satisfy any such requirement and are enforceable to the same extent as an original signed writing.
31.9 Modification of Terms
Entrance Group may modify these Terms from time to time by posting updated Terms on its website or otherwise providing notice through the Services, by email, or through Customer's Account. Entrance Group will notify Customer of any modification by email to Customer's designated contact or through Customer's Account, and, unless a later effective date is stated, the modification becomes effective thirty (30) days after that notice. From the effective date, the then-current version of these Terms posted by Entrance Group will govern Customer's access to and use of the Services. Entrance Group may require Customer to re-accept the updated Terms through the online acceptance process described in Section 1.1 as a condition of continued access. Customer's continued access to or use of the Services after the effective date of updated Terms, following notice given as described above, constitutes Customer's acceptance of the then-current Terms. If Customer does not agree to a modification, Customer may terminate the affected Services by written notice given before the effective date, and Entrance Group will refund any prepaid, unused fees for the terminated Services.
For Customers with an active Order Form, any modifications that materially and adversely affect Customer's rights or obligations will take effect upon the earlier of:
• the next renewal date of the applicable Order Form; or
• Customer's continued use of the affected Services after notice of the updated Terms,
except where changes are required to comply with law, carrier requirements, supplier requirements, security obligations, or to prevent abuse, in which case the changes may take effect earlier. Notwithstanding the foregoing, an update to these Terms will not modify transaction-specific pricing, term, renewal economics, minimum commitments, support scope, exclusivity, or special terms expressly set forth, selected, or completed in an active Customer Order Form unless the Customer Order Form permits the modification or the parties agree to the modification in a signed writing.
31.10 Compliance Verification. Entrance Group may, on reasonable notice and not more than once per twelve (12) months absent a carrier, regulatory, or abuse-triggering event, inspect records and supporting documentation (not a financial audit) reasonably necessary to verify Customer’s compliance with Sections 6, 7, and 15 of these Terms and the consent/opt-out recordkeeping obligations in Section 7.2. Such inspections will be conducted during Customer’s regular business hours, limited in scope to the matters identified above, and subject to Customer’s confidentiality rights under Section 17. Entrance Group will (a) use reasonable efforts to minimize disruption to Customer’s business, (b) treat inspected materials as Confidential Information under Section 17, and (c) preserve the confidentiality of any aggregated findings provided to third parties. Entrance Group may suspend or restrict Customer’s access to the Services if Customer fails to provide requested records in a timely manner in response to a verified compliance concern.
31.11 Limitations Period. To the maximum extent permitted by Applicable Law, any action, suit, or proceeding by either party arising out of or relating to these Terms must be commenced within one (1) year after the cause of action accrues; provided, however, that any provision of Applicable Law that prohibits or limits the contractual shortening of a statute of limitations will control, and the shortened limitations period in this paragraph will not apply to any claim that cannot be so limited. The parties intend this clause to be severable from the remainder of these Terms to the fullest extent permitted by law.
31.12 Copyright Complaints; Designated Agent. Entrance Group designates the following agent to receive notifications of claimed copyright infringement under 17 U.S.C. § 512(c): Copyright Agent, Entrance Group, LLC; [INSERT STREET ADDRESS]; Email: [INSERT DMCA EMAIL]. Notifications of claimed infringement must comply with the requirements of 17 U.S.C. § 512(c)(3) and include the information specified therein. Entrance Group will process notices in accordance with Applicable Law and will take appropriate action, which may include removal or disabling of access to the allegedly infringing material. Entrance Group will also maintain a current Designated Agent registration with the U.S. Copyright Office; the information in these Terms and the Copyright Office filing will match exactly.
Questions regarding these Terms may be directed to Entrance Group through the contact information provided on Entrance Group’s website or in the applicable Order Form.

ADDENDUM A — DATA PROCESSING ADDENDUM
Effective Date: August 24, 2026
This Data Processing Addendum (“DPA”) supplements and is incorporated into the Website Terms of Service between Entrance Group, LLC (“Entrance Group”) and the customer agreeing to those Terms (“Customer”). Capitalized terms not defined here have the meanings given in the Terms.
1. Definitions. “Applicable Data Protection Law” means all privacy and data protection laws applicable to the processing of Personal Information under the Terms, including the California Consumer Privacy Act as amended by the CPRA (the “CCPA”), the Virginia CDPA, the Colorado Privacy Act, the Texas Data Privacy and Security Act, and the Washington My Health My Data Act, in each case as applicable. “Personal Information,” “Business,” “Service Provider,” “Processor,” “Controller,” “sell,” “share,” and “process” have the meanings given under Applicable Data Protection Law. “Customer Personal Information” means Personal Information contained in Customer Data that Entrance Group processes on Customer’s behalf in providing the Services.
2. Roles. As between the parties, Customer is the Business/Controller and Entrance Group is the Service Provider/Processor with respect to Customer Personal Information. Entrance Group processes Customer Personal Information only on Customer’s documented instructions, which include the Terms, this DPA, and Customer’s configuration and use of the Services.
3. Service-Provider Restrictions (CCPA). Entrance Group will not: (a) sell or share Customer Personal Information; (b) retain, use, or disclose Customer Personal Information for any purpose other than the business purposes specified in the Terms and this DPA, including outside the direct business relationship between the parties; or (c) combine Customer Personal Information with Personal Information it receives from other sources, except as permitted by the CCPA for a service provider. Entrance Group certifies that it understands and will comply with these restrictions.
4. Assistance and Data-Subject Rights. Taking into account the nature of the processing, Entrance Group will provide reasonable assistance to enable Customer to respond to verifiable consumer/data-subject requests and to meet Customer’s security, breach-notification, data-protection-assessment, and consultation obligations under Applicable Data Protection Law.
5. Subprocessors. Customer authorizes Entrance Group to engage subprocessors (including carriers, aggregators, and cloud providers) to process Customer Personal Information. Entrance Group will impose on each subprocessor data-protection obligations no less protective than those in this DPA and remains responsible for its subprocessors’ performance. Entrance Group will make available a list of subprocessors and provide a mechanism for notice of changes.
6. Security. Entrance Group will maintain the administrative, technical, and organizational safeguards described in Section 15.3 of the Terms, appropriate to the nature of the Customer Personal Information.
7. Deletion and Return. Upon expiration or termination, Entrance Group will delete or return Customer Personal Information in accordance with Section 15.5 of the Terms and Applicable Data Protection Law, subject to legal retention requirements.
8. Audits. Entrance Group will make available information reasonably necessary to demonstrate compliance with this DPA and will allow for and contribute to audits, including inspections, conducted by Customer or its authorized auditor, no more than once annually absent a security incident or regulatory requirement, subject to reasonable confidentiality and scheduling limits.
9. Non-CCPA State Laws. To the extent the VA CDPA, Colorado Privacy Act, Texas DPSA, or Washington My Health My Data Act applies, the parties agree to the processor-agreement terms required by the applicable statute, and this DPA will be read to include those terms.
10. Conflict. In the event of a conflict between this DPA and the Terms with respect to the processing of Customer Personal Information, this DPA controls.

4. Restrictions on the Services. Except as expressly permitted by the Terms or Applicable Law, Customer will not, and will not permit any third party to, copy, modify, reverse engineer, decompile, disassemble, resell, sublicense, rent, lease, time-share, or provide service-bureau access to the Services, or use the Services to build, benchmark, or operate a competing product or service, or remove or obscure any proprietary notices.
5. Enforcement. Entrance Group may investigate suspected violations and may remove or disable content, throttle, filter, block, suspend, or terminate access to the Services, and take any other action permitted under the Terms, where Entrance Group reasonably determines that this AUP has been or may be violated or that action is necessary to protect the Services, Entrance Group, its customers, carriers, suppliers, or third parties, or to comply with Applicable Law or carrier or supplier requirements. Entrance Group may report suspected unlawful activity to law enforcement or regulators. Any action Entrance Group takes under this AUP is undertaken to protect the Services and to satisfy legal, carrier, or supplier requirements and does not constitute review, approval, or adoption of any Customer content, consistent with Section 7.6 of the Terms.
6. Reporting. Suspected violations of this AUP may be reported to reporting@entrancegrp.com.
ADDENDUM C — MESSAGING POLICY
Effective Date: August 24, 2026
This Messaging Policy governs use of the SMS, MMS, voice, and related communications features of the Services. It is incorporated by reference into the Terms and supplements the Acceptable Use Policy. Capitalized terms not defined here have the meanings given in the Terms. In the event of any conflict between this Messaging Policy and the Terms, the Terms control.
1. Customer Responsibility. Customer is solely responsible for the content, timing, recipients, origination, frequency, and legality of all communications initiated by or on behalf of Customer or its Users through the Services. As between the parties, Customer is the sole sender and originator of all such communications, consistent with Section 7 of the Terms.
2. Consent. Before sending any message, Customer must obtain, document, and maintain all consents required by Applicable Law and industry requirements, including prior express consent and, where required, prior express written consent for marketing or autodialed/prerecorded messages. Customer must obtain consent through a clear and conspicuous disclosure that identifies the sender and the program, describes the message types and frequency, and states that consent is not a condition of purchase where required; retain records of the consent, including the method, date, time, and content of the disclosure, and the identity of the consenting party; and provide evidence of consent to Entrance Group, carriers, or suppliers upon request.
3. Opt-Out and Help. Customer must honor opt-out (STOP) requests immediately and through any reasonable means, maintain functioning STOP, HELP, and equivalent keyword handling, and cease messaging a recipient promptly after an opt-out. Customer must not send messages to any number after opt-out except a single confirmatory opt-out message where permitted.
4. Sender Identification and Disclosures. Messages must clearly identify the sender and include all disclosures required by Applicable Law. Customer must not obscure or falsify the originating number, sender identity, or routing information, and must not engage in “snowshoeing,” number rotation, or similar practices designed to evade filtering or carrier rules.
5. Registration and Carrier Program Rules. Customer must comply with all applicable campaign-registration, brand-registration, and number-provisioning requirements, including 10DLC, toll-free verification, short code, and long code program rules, and all applicable carrier, aggregator, and CTIA guidelines. Customer must provide accurate registration information and promptly update it as needed.
6. Prohibited and Restricted Content. Customer will not use the Services to send messages relating to categories prohibited or restricted by Applicable Law, carriers, or suppliers, including: unlawful lead generation; unlawful debt collection; phishing or social engineering; illegal substances or paraphernalia; unlawful gambling; unregistered or unlawful financial, securities, or investment solicitations; unlawful firearms or fireworks; and deceptive or fraudulent content. Messages within the “SHAFT” categories (sex, hate, alcohol, firearms, tobacco/cannabis) are prohibited except that Customer may send messages relating to lawful alcohol, tobacco, cannabis, or other age-restricted products only to the extent expressly permitted by Applicable Law and applicable carrier and aggregator rules, and only if Customer implements and maintains appropriate age-gating, age-verification, geographic, and consent controls and complies with any campaign-approval or registration requirements imposed by the applicable carrier or aggregator. Customer is solely responsible for determining whether, and for ensuring that, any such messaging is lawful and permitted for each recipient and jurisdiction. Entrance Group may require evidence of Customer’s age-gating and control measures and may block or suspend any such traffic that does not satisfy these requirements or applicable carrier or aggregator rules.
7. Content Standards. Customer will not include in any message any prohibited URL shorteners, malicious links, or links to prohibited content, and will use only URL practices permitted by carriers.
8. Recordkeeping. Customer must maintain records sufficient to demonstrate compliance with consent, opt-out, disclosure, and registration requirements for the period required by Applicable Law, and must make them available to Entrance Group, carriers, suppliers, or regulators upon request, consistent with Sections 7.2 and 31.10 of the Terms.
9. Delivery Not Guaranteed. Messaging depends on third-party carriers, aggregators, and suppliers that may filter, block, delay, surcharge, suspend, or reject traffic. Entrance Group does not guarantee message delivery, routing, throughput, or campaign approval, and may block or suspend campaigns, numbers, templates, or traffic as permitted under the Terms.
10. Enforcement. Violation of this Messaging Policy is a violation of the Terms and may result in filtering, blocking, suspension, or termination, and may be reported to carriers, suppliers, or regulators. Suspected violations may be reported to reporting@entrancegrp.com.
11. Voice, Prerecorded, and Automated Calls. If Customer uses the Services for voice, prerecorded, or automated calling, the following additional requirements apply, in addition to all other provisions of this Messaging Policy and the Terms: (a) Consent. Customer must obtain and maintain all consents required by Applicable Law before placing any call, including prior express written consent for any telemarketing call that uses an artificial or prerecorded voice or an automatic telephone dialing system, and prior express consent for non-telemarketing autodialed or prerecorded calls, in each case to the extent required by Applicable Law. (b) Identification. At the beginning of each prerecorded or artificial-voice message, Customer must clearly state the identity of the party responsible for initiating the call and provide a contact telephone number or address, and must transmit accurate caller-identification information and not spoof, falsify, or obscure the originating number or caller identity. (c) Opt-Out. Any prerecorded or artificial-voice telemarketing call must include an automated, interactive opt-out mechanism announced at the outset and available throughout the call, and Customer must honor opt-out requests immediately and permanently. (d) Do-Not-Call Compliance. Customer must maintain an internal do-not-call list and honor the National Do-Not-Call Registry and applicable state requirements. (e) Calling-Time Restrictions. Customer must not place calls outside the hours permitted by Applicable Law (generally 8:00 a.m. to 9:00 p.m. at the called party’s local time) or any stricter state requirement. (f) Abandoned and Frequency Limits. Customer must comply with all Applicable Law governing abandoned calls, call-abandonment rate limits, and call-frequency limits. (g) Recording Notice. If Customer records calls, Customer is solely responsible for all notices and consents required by Applicable Law, including two-party or all-party consent requirements. (h) Emergency and Reassigned Numbers. Customer must not place autodialed or prerecorded calls to any number for which required consent is absent or revoked, and must take reasonable measures to avoid calling emergency lines and reassigned or ported numbers. (i) Sole Responsibility. As between the parties, Customer is the sole initiator and caller for all such calls and is solely responsible for their content, recipients, timing, frequency, consent basis, and legality, consistent with Section 7 of the Terms.
